Head of Secretarial Dept (Company Secretary)
Location: Shah Alam
To oversee the overall corporate secretarial work of the Secretarial Department and the portfolio companies, and to maintain efficient and effective communications with the various Head of Departments. To practice and display the 7 Characteristics of Leadership/ Management
To maintain the efficient and effective discharge of corporate secretarial work of the Secretarial Department such as reviewing/ preparation of — resolutions, memorandums, letters, forms, reports and announcements, Annual Report, Circular to Shareholders, preparation of Board Papers for Audit Committee Meetings, Board of Directors’ Meetings, EXCO Meetings and Management Committee Meetings.
Attends Board of Directors' Meetings, Audit Committee Meetings, EXCO Meetings, Management Committee Meetings and assisting the Executive Director, Corporate Services Division during the Meetings, writing of minutes, preparation of relevant: follow-up documents, attend to follow-up matters as and when and where required.
Act as liaison person between the Company and the authorities and maintain a good working relationship between the Company and the regulatory authorities to promote the corporate image of the Company
Ensure the Company and Group comply with the Companies Act, 2016, the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Policies and Guidelines on Issues/Order of Securities of the Securities Commission and Malaysian Code on Corporate Governance.
To implement policies for the Company;
To give work/ direction/ guidance to the subordinates;
To take care of the subordinates’ welfare;
To guide, give input, idea and advice to the Top Management of the Company and subordinates in the Company’s interests;
To protect the Company’s interests and confidential matters at all times;
Willing to take risks and responsibilities in all matters entrusted; and
Set the best example to the subordinates and other staff in terms of work style, communication, discipline and generally, in all other matters.
Minimum fifteen (15) years of company secretarial experience preferably in a secretarial services firm and/or public-listed company with at least ten (10) years in managerial position.
Good communication skills (written and oral) and drafting/minutes writing skills in both Bahasa Malaysia and English and good listening skills.
